This session is meant to give the healthcare PD business owner the basic information needed when valuing their business, preparing the business for sale, knowing the mechanics of a formal sale using professionals such as brokers, escrow officers, accountants, and lawyers. The business of selling your healthcare business involves a lot of strategies and it is wise to know that no two business sales are the same. You should also be aware of the types of buyers that you will encounter and how to best understand the buyer’s motivation and tactics. The sales process involves various phases and each phase involves a lot of involvement on the part of the seller which include creating a due diligence strategy and an exit strategy. Buyers. If you are planning on purchasing another healthcare business, the concepts that we discuss on the part of the seller can be used by you as a buyer. We will discuss what to look for in a healthcare business purchase, what key areas to look at such as the billing, working with an escrow company, checking financials statements and more.


LEARNING OBJECTIVES:
  • Identify the mechanics of selling a healthcare business with a focus on preparing the business for the sale and creating the ‘just right’ environment for the potential buyer. The seller’s pre-due diligence and the due diligence.
  • Identify and understand how to vet potential buyers as well as to understand the various phases in the purchase continuum to include knowing when to initiate an escrow, when to accept earnest money funds and more.
  • Utilize and understand what to look for when performing the Buyer’s due diligence when purchasing a healthcare business to include knowing how to best use key professionals during the due diligence, knowing how to recognize ‘red flags’, knowing how to create a list of questions to better understand: the motivation for the sale, the financial health of the agency, the operational systems in place of the business.

Ralph Santos

Ralph Santos is a licensed real estate broker and a licensed mortgage loan originator who is the owner of Healthcare Biz Brokers, a brokerage dedicated to buyers and sellers of healthcare businesses. His educational background include earning his Master’s in Business Administration (MBA) with a focus on general business. He also has an undergraduate degree in Occupational Therapy (OTR/L) from the University of Southern California (USC) with the majority of his clinical career being comprised of adult and geriatric clinical settings. He opened and ran his own skilled home health agency in Pasadena, California for over 10 years as the administrator and owner. He also has been a key person in helping doctors and other healthcare professionals with the opening of their own respective businesses as well as assisting with providing guidance and advice on how to better their business operations. In the mid 1990’s, he was one of the first therapists to open and run a successful therapy registry that catered to the home health market and Adult Day Health Care (ADHC) or (CBAS) market. His vision was to provide skilled and compassion driven services to all of his clients. Ralph’s passion is that of creating a trusting relationship where all parties can work concurrently on a project, a sale or other goal oriented venture. He enjoys reading, working out, dancing and living life to the fullest. Currently, he is enrolled in a Juris Doctorate program, which he hopes one day will add value to his clients.
